Variable Capital Company (VCC)
The Accounting and Corporate Regulatory Authority (ACRA) is the registrar of VCCs; the anti-money laundering requirements in section 84 of the Act are set and supervised by the Monetary Authority of Singapore (MAS), which issues MAS Notice VCC-N01 under it. Section 2 of the Act defines an umbrella VCC as a VCC whose constitution provides that it consists of two or more collective investment schemes, and a sub-fund as a collective investment scheme that is part of an umbrella VCC. An umbrella VCC must apply to register each sub-fund within 7 days of forming it (section 27). Under section 29, the assets of a sub-fund must not be used to discharge a liability of the VCC or of any other sub-fund, including in a winding up, any contract to the contrary is void, and a breach without reasonable excuse is an offence carrying a fine of up to $150,000 where there was intent to defraud and up to $50,000 otherwise. ACRA's guidance puts the practical point simply: if one sub-fund loses money, it does not affect the others, and different strategies can run under one VCC.
Who runs it. A VCC must at all times have a manager to manage its property or operate its schemes, and the manager must be a holder of a capital markets services licence for fund management under the Securities and Futures Act 2001 or a person mentioned in section 99(1)(a) to (d) of that Act, such as a licensed bank, or a prescribed person; a VCC cannot be its own manager (section 46). Every VCC must have at least one director ordinarily resident in Singapore and at least one director who is a director or qualified representative of the manager, who may be the same person (section 48). ACRA's guidance adds that a VCC must appoint an auditor within three months and a company secretary within six months of incorporation, that the Companies Act audit exemptions for dormant and small companies (sections 205B and 205C) do not apply to VCCs, and that a VCC with authorised schemes needs at least three directors, one of them independent.
Capital and shares. The repurchase or redemption of a VCC's own shares must follow its constitution, the shares must be fully paid, and redeemed shares are cancelled with the issued capital reduced by the consideration paid (section 35). The Act defines net asset value as total assets less total liabilities determined under the applicable accounting standards. ACRA describes the resulting flexibility compared with an ordinary company: shares can be issued and redeemed without shareholder approval and dividends can be paid from capital rather than only from profits. The register of members is kept under section 81 but, unlike a company's, is not open to public inspection, although public authorities can call for it.
VCC compared with a private company
| Feature | Variable capital company | Private company under the Companies Act 1967 |
|---|---|---|
| Purpose | Investment funds only: a VCC is a vehicle for one collective investment scheme or, as an umbrella, for two or more | Any lawful business |
| Capital | Variable: the VCC may issue and redeem shares without shareholder approval and may pay dividends out of capital, not only out of profits | Ordinary company-law capital maintenance rules apply |
| Sub-funds | An umbrella VCC may register sub-funds whose assets and liabilities are segregated by statute (section 29) | No equivalent; separate companies are needed |
| Register of members | Kept under section 81 but not open to the public; public authorities may inspect it when needed | Shareholder information is on the public register |
| Manager | Must at all times have a manager that is a capital markets services licensee for fund management or an institution exempt under section 99(1)(a) to (d) of the Securities and Futures Act 2001, or a prescribed person (section 46) | No manager requirement |
| AML/CFT | Section 84 of the VCC Act and MAS Notice VCC-N01: an eligible financial institution must be engaged to perform the checks | No equivalent notice |
Registration, fees and re-domiciliation
ACRA's registration guide (last updated January 2026) lists the officers every VCC must appoint, at least one director, one company secretary, one fund manager and one auditor, and the fees: $8,015 to register a VCC ($15 name reservation and $8,000 incorporation) and $400 for each sub-fund. A VCC may be formed as a non-umbrella or an umbrella VCC and the type may be changed later. Part 12 of the Act allows a foreign corporate entity with a comparable structure to transfer its registration to Singapore as a VCC. ACRA's re-domiciliation guide (updated October 2026) puts the fee at $9,000 plus $400 per sub-fund, with processing of 14 to 60 days from a complete submission, and requires proof of de-registration in the home jurisdiction within 60 days of approval. Existing obligations, liabilities, property and rights carry over unchanged.
AML/CFT: the VCC is itself a regulated entity
Section 84 of the Act is the basis for MAS Notice VCC-N01, which applies to every VCC and has done since 14 January 2020, with its latest amendments in effect from 1 July 2025. The Notice treats the VCC's members as its customers, requires it to engage an eligible financial institution (often its licensed fund manager, which is an eligible class under Appendix 2 of the Notice) to carry out customer due diligence, screening, monitoring and record-keeping on its behalf, and, subject to the exemptions in paragraph 7.24 for listed and government-owned VCCs, requires it to keep a register of its beneficial owners and a register of nominee directors. The VCC itself remains responsible for compliance, and the Guidelines to the Notice expect its board to oversee the eligible financial institution's work and approve the policies. MAS has set out its supervisory expectations and good practices for VCC managers in their governance and management of VCCs in Circular IID 04/2025 (26 June 2025). ACRA's post-registration checklist lists the same three registers, members under section 81, controllers under MAS Notice VCC-N01, and officers, and requires changes to be filed within 14 days.
For fund managers and administrators the consequence is that an umbrella VCC with several sub-funds is one legal person with one AML programme and one set of registers, but every subscriber to every sub-fund is a customer to be identified, screened and monitored. Our guide to VCC AML requirements under MAS Notice VCC-N01 covers the Notice paragraph by paragraph; MAS Notice SFA04-N02 explained covers the manager's own obligations, which apply in parallel; and investor onboarding describes how the two sets of checks can run in one workflow.

How One Constellation helps
One Constellation gives the managers and administrators that act for VCCs an investor onboarding portal, identity verification, KYB and beneficial-ownership tracing, sanctions, PEP and adverse-media screening, transaction monitoring and case management with STR workflows, so every member of every sub-fund is onboarded, screened and reviewed in one record.
