Investor Onboarding for Fund Managers and Administrators
Every subscription starts with knowing who the investor is: individuals, companies, trusts and funds of funds, often across several countries and through nominees. One Constellation runs the KYC and AML side of investor onboarding in one workflow, from identity checks and beneficial-ownership tracing to screening and risk assessment, with an audit trail your regulator and auditors can follow.
Why Investor Onboarding Slows Funds Down
Fund investors are rarely simple. A single closing can include individuals, family offices, pension funds and nominee platforms, each with different documents and ownership chains, and the fund, its manager and its administrator all carry part of the responsibility.
Complex Investor Types
Trusts, partnerships, funds of funds and nominee holders all need their beneficial owners identified, and each structure needs different evidence.
Several Rulebooks at Once
A Singapore manager with a Cayman fund and investors in Europe and Asia must meet the AML rules of every jurisdiction involved.
Documents by Email
Chasing certified copies and forms by email delays closings, and leaves no clear record of what was checked, when and by whom.
Investor KYC and AML in One Workflow
Collect investor information through an onboarding portal, verify it, trace ownership, screen everyone involved and set the risk level, with every step recorded.
Customer KYC
Identity checks for individual investors and the people acting for investor entities, with screening in the same flow.
KYB & UBO Discovery
Verify corporate, partnership and trust investors, and trace layered ownership to the natural persons behind them.
Sanctions, PEP & Adverse Media Screening
Screen customers and related parties against sanctions, PEP and adverse-media sources, with re-screening when lists change.
Enhanced Due Diligence
Structured EDD workflows for higher-risk customers, including source-of-funds and source-of-wealth capture.
Customer Risk Assessment
Multi-factor customer risk scoring that sets the level of due diligence and the review cycle.
Compliance Portal & Audit Trail
An onboarding portal for investors to submit information and documents, and a compliance workspace with an audit trail.
Investor Due Diligence Rules by Jurisdiction
Funds, managers and administrators share the work, but the duty to know your investors applies in every major fund domicile.
Singapore. MAS Notice SFA04-N02 applies to capital markets services licensees, including fund managers, and to certain exempt persons. Its definition of "customer" includes anyone who invests in a fund the firm manages, subject to limited carve-outs, for example where the fund's interests are distributed through another regulated financial institution. Fund managers must identify and verify investors from reliable, independent sources, identify and take reasonable steps to verify beneficial owners, screen investors, their beneficial owners and connected parties, monitor the relationship and keep records for at least five years. A Variable Capital Company must, under MAS Notice VCC-N01, appoint an eligible financial institution, such as its licensed fund manager or a licensed trust company, to carry out these checks, while the VCC appoints its own AML/CFT compliance officer.
Hong Kong. Schedule 2 of the Anti-Money Laundering and Counter-Terrorist Financing Ordinance and the SFC's AML/CFT Guideline require licensed corporations to identify and verify the customer, identify beneficial owners and understand the ownership and control structure, understand the purpose of the relationship and verify anyone acting for the customer. The Guideline recognises that a fund may appoint a manager, trustee, administrator, transfer agent, registrar or custodian to perform due diligence on its investors. A firm relying on an intermediary keeps ultimate responsibility for meeting its customer due diligence and record-keeping requirements.
Cayman Islands. Funds regulated by CIMA are subject to the Anti-Money Laundering Regulations (as revised) and CIMA's Guidance Notes. They must designate natural persons as AML Compliance Officer, MLRO and Deputy MLRO, and may delegate investor due diligence to an administrator or rely on another party, but the fund keeps ultimate responsibility. A binding CIMA Rule on effective AML/CFT/CPF compliance programmes, with a companion sanctions rule, took effect on 18 September 2026.
United States. FinCEN's rule bringing SEC-registered investment advisers and exempt reporting advisers under the Bank Secrecy Act, with AML programme and suspicious activity reporting duties, now takes effect on 1 January 2028, after FinCEN postponed it from 1 January 2026. FinCEN has said it intends to propose revisions to the rule. A separate customer identification programme rule for advisers has been proposed but not adopted.
United Kingdom and EU. The UK Money Laundering Regulations 2017 cover portfolio managers and a collective investment undertaking when marketing or otherwise offering its units or shares. In the EU, the current directive covers collective investment undertakings marketing their units or shares. From 10 July 2027 the EU AML Regulation applies directly to UCITS, alternative investment funds and their managers within its scope. In Luxembourg, under the AML Law of 12 November 2004 and CSSF Regulation 12-02, funds and fund managers must appoint a person responsible for AML compliance from the management body and a compliance officer.
